(12) If delivery is not included in this agreement, then Buyer is responsible and liable for transporting the Goods from the factory to the site, including the
responsibility for obtaining all permits, clearances, or any other approvals, and the paying of all fees or charges, if such are required or assessed by any local
jurisdiction, homeowner’s association, or deed restriction in connection with the location of the goods at the site.
(13) The laws of the State of Texas shall govern this agreement; Buyer and Seller submit to the exclusive jurisdiction of the county or district courts of Tarrant
County, Texas, and the parties hereto agree that any dispute or claim arising out of, in connection with, or in any way relating to this agreement or any dealing
between Buyer and Seller shall only be brought in such courts; Buyer submits to the personal jurisdiction of the county or district courts of Tarrant County,
Texas.
(14) This Special Order Agreement constitutes the entire agreement between Buyer and Seller and may not be contradicted by evidence of prior,
contemporaneous, or subsequent oral agreements of the parties; there are no unwritten oral agreements between the parties.
BUYER FURTHER REPRESENTS (1) THAT BUYER HAS READ THIS SPECIAL ORDER AGREEMENT; (2) THAT ALL DISCLOSURES IN THIS AGREEMENT WERE
MADE PRIOR TO THE CONSUMMATION OF THE AGREEMENT; (3) THAT ALL BLANKS WERE FILLED IN BEFORE BUYER SIGNED THE AGREEMENT; AND (4)
THAT THIS AGREEMENT CONSTITUTES THE AGREEMENT OF SELLER FOR THE SALE, AND OF BUYER FOR THE PURCHASE, OF THE GOODS AND THAT NO
OTHER AGREEMENTS, REPRESENTATIONS, OR INDUCEMENTS, EITHER ORAL OR WRITTEN, HAVE BEEN MADE EXCEPT AS SET FORTH HEREIN.
BUYER REPRESENTS AND WARRANTS THAT THE GOODS ARE NOT TO BE USED AS BUYER’S PRINCIPAL DWELLING. THE RIGHTS AND PRIVILEGES OF
SELLER UNDER THIS AGREEMENT SHALL INURE TO THE BENEFIT OF ITS PERSONAL REPRESENTATIVES, HEIRS, SUCCESSORS OR ASSIGNS. ALL PAYMENT
OBLIGATIONS, COVENANTS, REPRESENTATIONS, AND AGREEMENTS OF BUYER CONTAINED HEREIN ARE JOINT AND SEVERAL AND SHALL BIND BUYER’S
PERSONAL REPRESENTATIVES, HEIRS, SUCCESSORS AND ASSIGNS. IF ANY PROVISION IN THIS AGREEMENT SHALL FOR ANY REASON BE HELD INVALID
OR UNENFORCEABLE, SUCH SHALL NOT AFFECT ANY OTHER PROVISION HEREOF, BUT THIS AGREEMENT SHALL BE CONSTRUED AS IF SUCH INVALID OR
UNENFORCEABLE PROVISION HAD NEVER BEEN CONTAINED HEREIN.
